By accessing or using the services provided by Willow Intelligence ("Willow," "we," "us," or "our"), including our website, API, dashboard, and any related tools or documentation (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Services.

2. Description of Services

Willow provides an inference-time optimization and stability layer for large language models (LLMs). Our Services include API access, a monitoring dashboard, token optimization tools, and related infrastructure designed to reduce LLM drift, lower output token costs, and improve model consistency in production environments.

3. Accounts & Registration

To access certain features, you must create an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials and API keys
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activity that occurs under your account

4. Acceptable Use

You agree not to use our Services to:

• Violate any applicable laws, regulations, or third-party rights
• Attempt to reverse-engineer, decompile, or extract source code from our proprietary technology
• Interfere with or disrupt the integrity or performance of our Services
• Use our Services to generate harmful, misleading, or illegal content
• Exceed your plan's usage limits or attempt to circumvent rate limiting
• Resell or redistribute access to our API without written authorization

5. Pricing & Payment

Willow offers multiple subscription tiers. By selecting a paid plan, you agree to pay the applicable fees as described on our pricing page. All fees are:

• Billed in advance on a monthly or annual basis
• Non-refundable unless otherwise stated
• Subject to change with 30 days' notice

We reserve the right to suspend or terminate access for non-payment.

6. Intellectual Property

All intellectual property rights in the Services, including our inference-time optimization technology, patents (pending), algorithms, software, documentation, and branding, are owned by Willow Intelligence. Nothing in these Terms grants you any right to use our trademarks, logos, or proprietary technology beyond what is necessary to use the Services.

You retain ownership of any data you submit through our Services. By using our API, you grant us a limited, non-exclusive license to process your data solely for the purpose of providing the Services.

7. Data & Privacy

Your use of the Services is also governed by our Privacy Policy. We do not use your prompts or model outputs to train any models. Session data is processed in real-time and is not retained after the session ends.

8. Disclaimers

Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied. While we strive for high availability and accuracy, we do not guarantee that our Services will be uninterrupted, error-free, or that our optimization layer will achieve specific performance results for every use case. LLM behavior is inherently variable, and results may differ based on model, provider, and prompt complexity.

9. Limitation of Liability

To the maximum extent permitted by law, Willow Intelligence shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Services. Our total liability for any claim arising under these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Termination

Either party may terminate these Terms at any time. You may cancel your account through your dashboard or by contacting us. We may suspend or terminate your access if you violate these Terms, fail to pay applicable fees, or if we discontinue the Services. Upon termination, your right to use the Services ceases immediately.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Ohio, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Hamilton County, Ohio.

12. Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after changes are posted constitutes acceptance of the revised Terms.
